By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are accessing the Platform on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In such case, “you” refers to both the individual user and the organization.
We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to the Platform with an updated “Last Updated” date. Your continued use of the Platform after changes constitutes acceptance of the revised Terms. If you do not agree to changes, you must discontinue use immediately.
2. Eligibility and Age Requirements
You must be at least 18 years of age to use our Platform. By using the Platform, you represent and warrant that:
- You are 18 years of age or older
- You are a resident of the United States (our services are not available outside the U.S. except where explicitly stated)
- You have the legal capacity to enter into binding contracts
- You are not barred from receiving healthcare services under applicable law
- All information you provide is accurate, complete, and current
We strictly prohibit individuals under 18 from creating accounts or requesting prescriptions. If we discover an account was created by a minor, we will terminate the account and delete associated data immediately, subject to legal retention requirements.
3. Nature of Our Services
We are a health information and patient referral platform. We do not provide medical care, diagnose conditions, or directly prescribe medications. Our role is to:
- Provide medically reviewed educational content about prescription medications
- Connect you with independent, licensed telehealth providers who can evaluate your health needs
- Facilitate referrals to accredited pharmacies that can fill prescriptions issued by licensed physicians
- Offer price transparency and medication comparison tools
The physicians, pharmacies, and healthcare providers you interact with through our Platform are independent third parties. They are not our employees, agents, or representatives. We do not control their medical judgment, prescribing decisions, or professional practices.
We do not guarantee that any specific medication will be prescribed. All prescribing decisions are made solely by licensed physicians based on their independent medical evaluation of your health history, symptoms, and clinical appropriateness. We do not influence these decisions financially or otherwise.
4. Medical Disclaimer – Not Medical Advice
THE CONTENT ON THIS PLATFORM IS FOR INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY. IT IS NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. 5. Prescription Requirements and Controlled Substances
All prescription medications discussed, referenced, or accessible through our Platform require a valid prescription from a licensed healthcare provider. We strictly comply with federal and state laws regarding prescription drugs, including the Controlled Substances Act.
5.1 Prohibited Activities
You agree that you will NOT:
- Attempt to obtain prescription medications without a valid prescription
- Use false, fraudulent, or misleading information to obtain prescriptions
- Share, sell, or transfer prescriptions obtained through our Platform to others
- Seek prescriptions for medications you do not genuinely need for legitimate medical purposes
- Attempt to circumvent prescription verification processes
- Use the Platform to obtain controlled substances for non-medical or recreational purposes
5.2 Controlled Substances
Certain medications accessible through our Platform are classified as controlled substances under the Controlled Substances Act (CSA). These include Schedule IV substances such as modafinil (Provigil). Additional restrictions apply:
- Prescriptions for controlled substances are limited to 30-day supplies (or less per state law)
- No refills are permitted – new prescriptions require new medical evaluations
- Pharmacies must verify your identity with government-issued photo ID
- We report suspicious prescribing patterns to appropriate regulatory authorities

6. User Accounts and Responsibilities
To access certain features of the Platform, including telehealth referrals and prescription services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
6.1 Account Security

- Enable two-factor authentication (2FA) when available

- Log out of your account after each session, especially on shared devices
6.2 Accurate Information
You agree to provide accurate, current, and complete information during registration and when using the Platform. This includes:

- Valid contact information for emergency communications
Providing false or misleading health information is dangerous and may result in denial of service, account termination, and reporting to appropriate authorities.
7. Prohibited Conduct
In addition to prescription-related prohibitions, you agree NOT to:
- Use the Platform for any illegal purpose or in violation of any local, state, federal, or international law
- Attempt to gain unauthorized access to our systems, user accounts, or data
- Interfere with or disrupt the Platform, servers, or networks connected to the Platform
- Use automated scripts, bots, scrapers, or similar tools to access or extract data
- Upload or transmit viruses, malware, or other harmful code
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Harass, abuse, or harm healthcare providers, staff, or other users
- Post or transmit content that is defamatory, obscene, threatening, or discriminatory
- Reverse engineer, decompile, or disassemble any portion of the Platform
- Remove or alter any copyright, trademark, or proprietary notices
8. Intellectual Property Rights
All content on the Platform, including text, graphics, logos, icons, images, audio clips, software, and compilations thereof, is the property of VippHealth Solutions or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
8.1 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include:
- Modifying, copying, distributing, or creating derivative works from our content
- Using our content for commercial purposes without written consent
- Removing copyright or proprietary notices from any materials
- Framing or mirroring any part of the Platform without authorization
8.2 Trademarks
All trademarks, service marks, trade names, and logos displayed on the Platform are our property or the property of their respective owners. Viagra, Cialis, Levitra, Provigil, and other drug names are trademarks of their respective pharmaceutical manufacturers. Our use of these names is for informational and comparative purposes only and does not imply endorsement by or affiliation with the trademark holders.
9. Third-Party Links and Services
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by us. These include links to telehealth providers, pharmacies, medical organizations, and government agencies.
We do not endorse, assume responsibility for, or control the content, privacy policies, or practices of any third-party websites or services. Your interactions with third-party providers are governed by their own terms and policies. We encourage you to read the terms and privacy policies of any third-party website you visit.
We are not responsible for any loss or damage arising from your use of third-party services, including but not limited to medical outcomes, prescription errors, delivery issues, or billing disputes. Any claims related to telehealth consultations or pharmacy services must be directed to the respective provider.
10. Disclaimer of Warranties
THE PLATFORM AND ALL CONTENT, SERVICES, AND PRODUCTS AVAILABLE THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the Platform will be uninterrupted, timely, secure, or error-free
- Warranties that the results obtained from using the Platform will be accurate or reliable
- Warranties regarding the quality, safety, or effectiveness of any medications or treatments
- Warranties that errors in the Platform will be corrected
We do not warrant that the Platform or its servers are free of viruses, malware, or other harmful components. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and data accuracy.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VippHealth Solutions, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:
- Loss of profits, data, use, goodwill, or other intangible losses
- Personal injury or death resulting from medical decisions made based on Platform content
- Adverse drug reactions, allergic responses, or medication errors
- Costs of procurement of substitute goods or services
- Unauthorized access to or alteration of your transmissions or data
Our total liability to you for all claims arising from or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid to us, if any, in the 12 months preceding the claim, or (b) $100.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless VippHealth Solutions, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:
- Your violation of these Terms
- Your use of the Platform, including but not limited to your User Content
- Your violation of any rights of another, including intellectual property rights
- Your violation of any applicable laws or regulations
- Your willful misconduct or negligence
13. Governing Law and Dispute Resolution
These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
13.1 Informal Resolution
Before filing any claim, you agree to attempt to resolve disputes informally by contacting us at [email protected]. We will make good faith efforts to resolve the dispute within 30 days.
13.2 Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in New York, New York.
YOU AGREE THAT ANY ARBITRATION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST US.
13.3 Exceptions to Arbitration
Notwithstanding the arbitration agreement, either party may bring an individual action in small claims court or seek injunctive or other equitable relief in a court of competent jurisdiction for matters related to intellectual property infringement or unauthorized access to the Platform.
14. Termination
We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:
- Breach of these Terms
- Fraudulent or misleading information provided during registration or consultation
- Attempting to obtain prescription medications without legitimate medical need
- Engaging in illegal activity through the Platform
- Harassment or abuse of healthcare providers, staff, or other users
- Non-payment of fees owed for services rendered
Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
You may terminate your account at any time by contacting [email protected]. Termination does not absolve you of obligations incurred prior to termination, including payment for services rendered.
15. Severability and Waiver
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of VippHealth Solutions.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and VippHealth Solutions concerning the Platform and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral.
